TERMS & CONDITIONS

A fair agreement for a free service.

These terms govern access to Bienzoli by a business and its authorised users.

Agreement and operator

These Terms are an agreement between the business or person using Bienzoli (“you”) and VINCEDOTCODE LTD (“we”), BRN/TAN C25220943, ERN 04390814, of Avenue des Pingos, Medine Camp de Masque, Medine, Mauritius.

By creating an account or using Bienzoli, you confirm that you accept these Terms, the Privacy Policy, the Acceptable Use Policy and, where relevant, the Data Processing Terms.

Eligibility and accounts

You must be at least 18 and legally able to enter this agreement. If acting for a business, you confirm that you have authority to bind it. Information supplied must be accurate and kept current.

You are responsible for authorised users, password confidentiality and activity under the account. Notify vince@vincedotcode.com promptly if an account or device may be compromised.

The free service

Bienzoli provides tools for point-of-sale records, products, stock, customers and invoices. It is currently provided without a subscription fee or payment card. We will not charge you unless you explicitly agree to a future paid service.

We grant authorised users a limited, revocable, non-exclusive and non-transferable right to use Bienzoli for lawful internal business purposes. We retain all rights in the software, design and brand.

Your content and customer data

You retain ownership of business content entered into Bienzoli. You instruct us to host, copy and process it only as needed to provide, secure and support the service.

You are responsible for having a lawful basis to record information about customers, staff and other people, giving any notices they require and ensuring the data is accurate and relevant. Do not store passwords, full payment-card numbers, health data or other highly sensitive information in free-text fields.

Business responsibilities

  • Use Bienzoli only for lawful business activity.
  • Review invoices, totals, tax treatment, stock and exports before relying on them.
  • Maintain any records or backups required by law or essential to the business.
  • Follow the Acceptable Use Policy and applicable data-protection law.

Bienzoli is an operational tool, not accounting, tax, legal or financial advice. It does not process card payments or guarantee that an invoice meets every requirement applicable to your business.

Changes and availability

We aim to keep Bienzoli fast and available, but a free service is provided without a service-level guarantee. Maintenance, provider outages, security events or circumstances beyond reasonable control may interrupt access.

We may improve, replace or discontinue features. We will give reasonable notice of material changes where practicable and will not materially reduce data-protection commitments without notice.

Suspension and ending use

You may stop using Bienzoli and request account deletion at any time. Export records you are legally required to keep before closure.

We may suspend or close an account for material breach, unlawful use, security risk or harm to the service or others. Where safe and lawful, we will provide notice and a reasonable opportunity to correct the issue.

Disclaimers and liability

To the maximum extent permitted by Mauritian law, Bienzoli is provided “as available” without implied warranties of uninterrupted operation or fitness for a particular business purpose. Nothing excludes liability that cannot lawfully be excluded.

We are not liable for indirect or consequential loss, loss caused by inaccurate user input, unlawful use, compromised user credentials or failure to retain required records. To the maximum extent permitted by law, our aggregate liability relating to the free service is limited to MUR 5,000.

Mauritian law

These Terms are governed by the laws of Mauritius. The courts of Mauritius have jurisdiction, although both sides should first try in good faith to resolve a dispute by writing to vince@vincedotcode.com.

If part of these Terms is unenforceable, the remaining parts continue. Delay in enforcing a right is not a waiver. We may update these Terms with reasonable notice of material changes.
